Pepco Holdings Announces Succession Plan for New Vice President and Controller

Joseph M. Rigby, Senior Vice President and Chief Financial Officer of Pepco Holdings, Inc. (PHI), announced today that Ronald K.Clark will join the company on June 27, and will replace James Lavin as Vice President and Controller when Lavin retires in August 2005.

Clark is a graduate of The College of William & Mary with a degree in Accounting and is a Certified Public Accountant. Following assignments with Ernst & Young and Lockheed Martin Corporation, where he became Controller of Lockheed Martin Global Telecommunications, he moved to Allegheny Energy, where he served as Vice President & Controller. Clark''s most recent position was Vice President, Financial Reporting & Policy at MCI, Inc.
