Pepco Holdings, Inc.''s Board of Directors today declared a dividend oncommon stock of 25 cents per share payable March 31, 2003, to shareholdersof record on March 10, 2003.

In other action, the board set 10 a.m., April 25 for the 2003 Annual Meetingof Shareholders to be held at the J. W. Marriott Hotel, Capitol Ballroom,1331 Pennsylvania Ave., N.W.
